Item 8.01. Other Events.

On January 17, 2011, Optical Cable Corporation (the “Company”) issued a press release announcing that the Board of Directors declared a cash dividend of $0.01 per share on the Company’s common stock effective January 15, 2011. The Company’s Board of Directors has declared that the dividend will be paid on March 15, 2011 to shareholders of record on February 4, 2011. A copy of the press release announcing the dividend is attached as Exhibit 99.1 to this Form 8-K.

DECLARES REGULAR QUARTERLY DIVIDEND

ROANOKE, VA, January 17, 2011 — Optical Cable Corporation (Nasdaq GM: OCCF) (“OCC” or the “Company”) today announced the declaration of a quarterly cash dividend to OCC’s shareholders.

OCC’s Board of Directors declared a cash dividend of $0.01 per share on the Company’s common stock effective January 15, 2011. The dividend will be paid on or about March 15, 2011 to shareholders of record on February 4, 2011. The dividend announced today implies an annual cash dividend rate of $0.04 per common share.
