You are a "registered stockholder" if you hold your shares in your own name with our transfer agent, American Stock Transfer and Trust Company, LLC.
You may vote by one of the following methods:
(1) Complete, sign and return promptly the proxy card that will be mailed to you on approximately February 23, 2024 and return it in the postage paid envelope; or
(2) Attend the annual meeting in person, or send a personal representative with an appropriate proxy, to vote by ballot. Please note that only record or beneficial owners of common stock or their proxies may attend the annual meeting in person.

You are a "beneficial stockholder" if you hold your stock through a broker, bank or other nominee. Beneficial stockholders are also known as "street name" stockholders.
